We believe that with respect to the Russian part of the deal, in case Liniya Prava is chosen a legal counsel, the scope of our work will include the following major issues:
1. Legal due diligence of immovable property objects (1) Preliminary complete consideration of the client’s objectives and interests in project, goal setting and discussion of legal services to be provided (2) Accumulation and study of documentation for conducting due diligence (3) Deliberation of due diligence results (4) Reporting on due diligence of immovable property objects (5) Recommendations to the client on a favourable project structure and ways of risk/expense minimization, based on the due diligence report
2. Leasehold of Non-residential Premises and Land Plots (1) Agreement of lease contract with due account for land use anticipation (2) Advice to a client at the stage of lease contract conclusion and execution (3) Legal due diligence of a lease agreements and documentation auxiliary to the contract registration with Rosregistration (4) Registration (submission, tracking and receipt of documents) of lease agreements with Rosregistration (5) Coordination of pledge of land plot leasehold with state authorities (6) Receipt of information from the State Land Register (7) Supply of abstracts from the Uniform State Register of Immovable Property Rights and Transactions
3. Purchase of Real Estate (1) Elaboration and implementation of transaction schemes intended for passing of title (2) Elaboration of schemes for minimization of business risks and expenses of construction, implementation of other projects in real estate purchase (3) Advanced legal due diligence of real estate objects in terms of detecting possible risks allied to the purchase (4) Contract drafting for purchase of real estate taking into account possible risks detected as a result by due diligence (5) Preparation and completion of associated documentation, getting a license with state and local bodies (Rosregistration, The Moscow City Land Resources Department, Moskomarchitectura, The Moscow City Committee of Organization and Holding of Competitions and Auctions), with organizations and establishments (Rostechinventarization, Mosgorgeotrest and other bodies for technical inventory) inclusive of identification of real estate (6) Registration of title and real estate transactions (including carry-over construction) with the Uniform State Register of Immovable Property Rights and Transactions, as well as registration of title resulting from privatization (7) Registration of the elder title resulting from real estate privatization (8) Registration of economic and operative management rights, rights for carry-over construction objects (9) Supply of abstracts from the Uniform State Register of Immovable Property Rights and Transactions

5. Legal opinion under the Russian law (when applied)
Liniya Prava provides, in coordination with the client, comprehensive legal consultancy on corporate, antitrust, securities law. Moreover we conduct essential documentation preparation and provide our clients with opinions on particular matters. The law firm Liniya Prava can be engaged in implementation of a whole project or some of its stages (e.g.: due diligence or transaction closing alone), but turnkey projects implemented by our law firm are most successful.
